1. Who We Are & What This Covers
Tech by Dimitri LLC is a Wyoming limited liability company operating from Salvador, Bahia, Brazil, serving businesses primarily located in the United States. These Terms govern your use of techbydimitri.com, the Free Audit tool, and any related forms or subdomains.
They do not replace a signed proposal, statement of work, or service agreement — where one exists, it controls the specifics of that engagement. Our Privacy Policy governs how we handle your data and is incorporated here by reference.
2. Eligibility
You must be at least 18 years old and authorized to act on behalf of the business you represent to use this site or engage our services. If you're submitting information for a company, you're confirming you have the authority to do so.
3. Using This Website
You may use techbydimitri.com to evaluate our services, request a Free Audit, and contact us. You agree not to:
- Scrape, harvest, or systematically extract data from the site.
- Attempt to access non-public areas, interfere with site security, or disrupt normal operation.
- Impersonate TbD, our staff, or any Guild specialist.
- Submit false, fraudulent, or misleading information through any form.
- Use the site for any unlawful purpose.
We may suspend or restrict access for anyone who violates these terms.
4. The Free Audit Tool
The Free Audit scans the public pages of a website URL you submit and generates an automated diagnostic report. By submitting a URL, you confirm you own that website or are otherwise authorized to request a scan of it.
The report is generated by automated tools and provided for informational purposes only. It is not a guarantee of your site's performance, security, search ranking, or any business outcome, and it is not professional advice — treat it as a starting point for a conversation, not a certified assessment.
5. Engaging Our Services
If you engage TbD for a project, retainer, membership plan, or Small Mission, that engagement is governed by a separate signed proposal or service agreement setting out the specific scope, price, timeline, revisions, and terms that apply. Where that agreement conflicts with this page, the signed agreement controls.
Our current service lines include web design, mobile app development, SEO, social media, paid media, email marketing and CRM, AI automation, app maintenance, membership plans, and Small Missions, as described on the site.
6. Payment, Deposits & Cancellation
Fees are due as stated in your proposal or service agreement, or as shown at checkout for direct-purchase services like Small Missions. We process payments through Stripe; we do not see or store your full card number.
Once work begins, deposits are non-refundable. If you cancel after work has started, you'll be invoiced for any completed work beyond what the deposit covers. Specific payment schedules, milestones, and cancellation terms for your engagement are set out in your proposal or service agreement.
7. Ownership & Intellectual Property
Generally, you own the content, branding, and deliverables we create specifically for you once they're paid in full. Where a project is built on your own platform account (Wix Studio, Framer, Shopify, WordPress, or similar), you control that account.
We retain ownership of our pre-existing tools, frameworks, methodologies, and any general-purpose components not built specifically for you. Upon full payment, we also retain the right to display the completed project in our portfolio and marketing materials, unless you request otherwise in writing.
Some service lines — AI Automation blueprints and workflow scenarios, for example — carry their own ownership terms. Where your signed agreement addresses this, it controls.
8. Confidentiality
We treat your business information, project details, and materials as confidential, and we expect the same in return: please don't share our internal processes, pricing structures, proposals, or proprietary tools outside your organization without our consent.
9. How We Deliver Services
Work may be performed by TbD directly, by a Guild specialist — our network of vetted, industry-focused specialists — or by a freelancer subcontracted for overflow or specialized tasks. You'll always have a clear point of contact for your engagement, coordinated through Command Center.
If you're introduced to a Guild specialist or subcontracted freelancer through TbD, please route any related work through us rather than engaging them directly, for the duration of your engagement and 12 months after it ends. This keeps the network sustainable for every client, including you.
10. Disclaimers
The site and the Free Audit tool are provided "as is," without warranties of any kind. We don't guarantee that our services will produce a specific ranking, revenue figure, conversion rate, or other business outcome — results depend on factors outside our control, including your market, your existing infrastructure, and decisions you make along the way.
11. Limitation of Liability
To the extent permitted by law, TbD's total liability for any claim arising from these Terms or your use of our services is limited to the amount you paid us for the specific service giving rise to the claim in the 12 months before the claim arose. We are not liable for indirect, incidental, consequential, or lost-profit damages, even if advised they were possible.
12. Indemnification
You agree to indemnify and hold TbD harmless from claims arising out of content, materials, or instructions you provide us, or your violation of these Terms or any law.
13. Termination
We may suspend or terminate your access to the site for violating these Terms. Termination of a paid engagement is governed by your signed proposal or service agreement.
14. Governing Law & Disputes
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute not resolved informally will be brought in the state or federal courts with jurisdiction over Wyoming.
15. General Provisions
- Entire agreement: These Terms, our Privacy Policy, and any signed proposal or service agreement make up the whole agreement between us on these subjects.
- Severability: If any provision here is found unenforceable, the rest stays in effect.
- No waiver: If we don't enforce a provision on one occasion, that doesn't waive our right to enforce it later.
- Assignment: We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights under these Terms without our consent.
- Force majeure: Neither party is liable for delays caused by events beyond reasonable control — natural disasters, internet or infrastructure outages, and similar events.
16. Changes to These Terms
We may update these Terms as our services, tools, or legal obligations change. The effective date at the top always reflects the current version. Continuing to use the site after an update means you accept the revised Terms.
